Terms of Use Agreement

This Terms of Use Agreement is between SecTec LLC (“SecTec”) and users of this website (“you” or “user”).  SecTec, through its TECCOACHSM  division, provides the content and services to you on this website (the “Site”) subject to the following terms and conditions.  SecTec may periodically change these terms, so please check back from time to time.  Your use of the Site will mean you accept these terms. 

1. COPYRIGHTS. All content on the Site, including text, graphics, logos, button icons, and images, and the selection and arrangement of such content is the exclusive property of SecTec or its licensors and is protected by U.S. and international copyright laws. All rights not expressly granted are reserved.

2. TRADEMARKS. The trademarks, service marks, designs, and logos (collectively, the "Trademarks") displayed on this Site are the registered and unregistered Trademarks of SecTec and of SecTec's licensors. Your use of the Trademarks displayed on this Site is strictly prohibited.

3. USE OF SITE. You may use or download material displayed on this Site for noncommercial, personal use only. If you download material, you must retain all copyright and other proprietary notices displayed on the materials. You may not distribute, modify, transmit, post, or otherwise use the content of this Site for public or commercial purposes without SecTec’s written permission.

4. FEEDBACK, AND OTHER SUBMISSIONS.  SecTec does not want to receive confidential or proprietary information from you through our Site, and any information or material sent to SecTec will be deemed NOT confidential.  You agree that any and all information that you submit to the Site, including any and all survey responses and written comments, is the property of SecTec and may be used by us for any purpose.  Notwithstanding the foregoing, there may be areas on this Site where we tell you that submitted information will be disclosed only on an anonymous basis, or where we may ask for your permission to disclose specific information.  The provisions of this Section 4 shall  not apply to the extent they are inconsistent with such specific instructions.

5. DISCLAIMERS; LIMITATIONS ON LIABILITY.  The materials appearing on this Site have been posted to inform users in a general way about board of directors issues, and related legal issues that may be of interest to them.  Users should not rely on the posted materials as advice about specific legal problems.  Such advice can be rendered only by competent counsel familiar with the facts and circumstances involved.  Posting and viewing of these materials is not intended to constitute the rendering of legal advice or to create any attorney-client relationship with the user.

ALL INFORMATION ON THE SITE IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF NON-INFRINGEMENT, OR ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  SECTEC DOES NOT WARRANT THAT THE SITE WILL BE VIRUS-PROOF OR “HACKER” PROOF.  IN NO EVENT SHALL SECTEC BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR ANY OTHER HYPERLINKED SITE.  SECTEC DOES NOT WARRANT THAT THE USER’S USE OF THE SITE WILL BE UNINTERRUPTED, ALWAYS AVAILABLE OR ERROR-FREE.  IN ADDITION, SECTEC EXPRESSLY DISCLAIMS ALL LIABILITY, REGARDLESS OF THE FORM OF ACTON, FOR THE ACTS OR OMISSIONS OF ANY OTHER USERS, INCLUDING UNAUTHORIZED USERS OF THE SITE.  To the extent state law differs from the foregoing disclaimers of warranty, they may not apply to you.

6. HYPERLINKS.  This Site contains links to other sites.  SecTec makes no representations, warranties or endorsements with respect to any web site which may be accessed from this Site. It is your responsibility to read and adhere to the policies of such other sites.  When you access a non-SecTec web site, please understand that SecTec has no control over the content or information at that site.  In addition, a link to a non-SecTec web site does not mean that SecTech endorses or accepts any responsibility for the content or the use of such web site. 

7. APPLICABLE LAW. Any dispute arising from these terms of use shall be resolved exclusively in the state and federal courts of the State of North Carolina.

8. SITE SECURITY RULES.  Users are prohibited from violating or attempting to violate the security of the Site, including, without limitation:

a.       accessing data not intended for such user or logging into a server or area which the user is not authorized to access;

b.      attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

c.       attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Web Site, overloading , "flooding", "spamming", "mailbombing" or "crashing";

d.      sending unsolicited e-mail, including promotions and/or advertising of products or services; or

e.       forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.

Violations of system or network security may result in civil or criminal liability.

9.   UPDATING.  SecTec takes no responsibility for updating information posted on the Site.

10. PRIVACY STATEMENT.  Information Collection and Use. Sec Tec is the owner or licensee of the information displayed and collected on this site. We gather information in two ways on this Site: (1) by gathering IP addresses and using "cookies", and (2) by inviting users to voluntarily submit information.

IP Addresses and Cookies. We reserve the option to use IP addresses to administer the Site, track user movement and gather demographic information for aggregate use. IP addresses are not linked to identifiable information. We use "cookies" to gather information. Cookies are small text files that websites store on your computer's hard drive. Cookies would contain information you have given us, and may also record how often you visit our Site and/or the pages you visited.

Submitted Information. In some parts of the Site you are invited to voluntarily submit information to Sec Tec. Except to the extent Sec Tec tells you otherwise with respect to a specific submission, Sec Tec is free to use such voluntarily submitted information for any purpose.

Links. This Site contains links to other sites. We are not responsible for the privacy practices of such other sites. Read the privacy statements of each web site that collects personally identifiable information.

Correcting/Updating Personal Information. If you would like to make a change to previously submitted personal information, please re-submit the information and we will make every effort to update our records. If you would like to remove previously submitted personal information from our records, please submit an e-mail detailing your request to SecTec1@bellsouth.net .
