Jim Verdonik is a principal in Daniels Daniels & Verdonik, P.A. He practices corporate and securities law. During his 25 years of legal practice in New York and North Carolina, Mr. Verdonik has participated in numerous public offerings, venture capital and seed capital investments, mergers and acquisitions, private placements of securities and license and other corporate partnership transactions on behalf of both public and private companies. He is listed in Best Lawyers in America for Corporate Law.

Mr. Verdonik regularly provides advice to Boards of Directors, Board Committees, company founders, management teams, shareholders and investors about their relationships with one another, including: Director fiduciary duties, shareholder rights, corporate governance, D&O insurance, risk management, securities disclosure issues, management compensation and conflicts of interest.

Mr. Verdonik currently writes a monthly column for The Business Journal (see www.triangle.bizjournals.com) about business and legal issues. He has written a book about growth companies called The ABCs of Growth Companies and has written and narrated A Tale of Two Boards, an educational video about Board of Director issues, for the Research Triangle Chapter of the National Association of Corporate Directors. He is the founder of www.BoardStrategies.com, an online service that addresses a wide range of Board related issues, and www.TecCoach.com, an online resource for young technology companies.

Mr. Verdonik has received the Council for Entrepreneurial Development's "Outstanding Service Provider Award" and the Greater Raleigh Chamber of Commerce's "Outstanding Service to the Business Community Award."

He serves on the Board of Advisors to the Research Triangle Chapter of the National Association of Corporate Directors and is on the Board of Advisors of many companies. He has served on advisory boards of two North Carolina governors and wrote the North Carolina statute which grants tax credits to angel investors.
